										<content:encoded><![CDATA[<p>Two people who know about the situation say that India&#8217;s market regulator is looking into the Adani Group&#8217;s ties to a fund based in the British Virgin Islands to see if there have been any violations of share holding rules.</p>
<p>Sources say the name of the fund is Gulf Asia Trade &amp; Investment. According to a website check last month, it is owned by Nasser Ali Shaban Ahli, a businessman from Dubai. However, the website has since been taken down.</p>
<p>Based on information the Organized Crime and Corruption Reporting Project (OCCRP) gave to Reuters, the fund has put money into a number of publicly traded Adani companies.</p>
<p>The investigation is part of the Securities and Exchange Board of India&#8217;s (SEBI) larger investigation into the Indian conglomerate. It comes after a report in January by short-seller Hindenburg Research that said offshore shell companies &#8220;secretly&#8221; owned stock in Adani listed companies, which raised governance issues.</p>

<p>They want to know if Gulf Asia&#8217;s ties to the Adani Group are strong enough that it would be seen as working &#8220;in concert&#8221; with major Adani shareholders, according to sources who did not want to be named because the investigations are ongoing and private.</p>
<p>This part of the SEBI probe has not been talked about before.</p>
<p>When Reuters called the Adani Group, they wouldn&#8217;t say anything about the SEBI investigation or their possible ties to the fund.</p>
<p>The group has said in the past that it denies OCCRP&#8217;s claims that business partners used &#8220;opaque use&#8221; of funds to invest in its publicly traded companies. Hindenburg also made claims that it wasn&#8217;t true; it said that all transactions with companies that could be considered related parties had been fully disclosed.</p>

<p>SEBI and Gulf Asia did not answer when asked for comments. Reuters couldn&#8217;t get in touch with Ahli. His main financial services company, Al Jawda Trade and Services, which is based in the United Arab Emirates, did not answer emails or calls.</p>

										<content:encoded><![CDATA[<p><span style="font-size: 14pt;">In what appears to be the first attempt at the Securities and Exchange Board of India&#8217;s (Sebi&#8217;s) new regulatory architecture, a circular addressed to portfolio managers stated that the terms of reference (ToR) for a mandatory audit will be determined in consultation with Sebi.</span></p>
<p><span style="font-size: 14pt;">In a press conference conducted on July 24, Sebi Chairperson Madhabi Puri Buch stated that the regulator&#8217;s circulars specify &#8216;what&#8217; is to be done but not &#8216;how&#8217; it is to be done. Now, the regulator will test a method of requesting the industry to determine the &#8220;how&#8221; standards, or the standards for the implementation of the regulations.</span></p>
<p><span style="font-size: 14pt;">APMI (Association of Portfolio Managers in India), in consultation with SEBI, shall specify standardised Terms of Reference (&#8216;ToR&#8217;) for the aforementioned audit of firm-level performance data of portfolio managers, it was stated in a circular dated August 2.</span></p>

<p><span style="font-size: 14pt;">In addition, the standard outlined by APMI will become applicable on October 1, 2023, and all Portfolio Managers will be required to adhere to it for the purpose of annual auditing of firm-level performance data.</span></p>
<p><span style="font-size: 14pt;">Buch stated, with regard to the regulatory shift, that Sebi receives a great deal of valuable feedback from its advisory committees when attempting to strike a balance between the need to ensure business efficiency and market integrity. Then, these inputs are disseminated for public comment, and following their receipt, a new regulation is formulated or an existing regulation is revised.</span></p>
<p><span style="font-size: 14pt;">However, when implementing them, market participants ponder how it is to be done and if what they are doing is sufficient or will be deemed a violation.</span></p>
<p><span style="font-size: 14pt;">Such added that, upon further consideration, Sebi determined that industry bodies are best suited to determine industry standards (for implementing regulations).</span></p>

<p><span style="font-size: 14pt;">The current circular on the audit&#8217;s Scope of Work added that it should include &#8220;the requirement for Portfolio Managers to evaluate clients&#8217; portfolios across all services for the audit of firm-level performance data. The performance of advisory clients may only be excluded if it is not reported or published in any marketing materials or on any website.</span></p>

Moreover, Kundu has not followed SOP while appointing employees, has not designated a few employees as KMP, and has given a clean bill of health to the exchange&#8217;s two officials, Kundan Zamvar and Kunal Sanghavi, despite knowing that their names were highlighted in anomalies concerning mismanagement in the uTrade contract.</span></span></p>

The Securities and Exchange Commission fined MSEI, Kundu, and Bhansali a total of Rs 8,000,000 (about $1.4 million) because their actions were in violation of the Securities Contracts laws.</span></span></p>

Over the course of July 2019–July 2021, Sebi received multiple complaints alleging irregularities on the part of MSEI&#8217;s management. In light of these accusations, the regulator recommended that the bourse hire a forensic auditor to check out MSEI&#8217;s allegations.</span></span></p>

In June, three people resolved with Sebi over suspected violations of Securities Contracts regulations in the matter of former officers of MSEI. The settlement sum was over Rs 33 lakh.</span></span></p>

She emphasised that the issue was not with the regulation itself, but rather its application.</span></span></p>

Or, the benchmarking organisation may be chosen by the industry association, as stated in a benchmarking circular.</span></span></p>

She emphasised that it was never the regulator&#8217;s intention for the corporations to invest &#8220;hundreds of crores&#8221; on a separate system.</span></span></p>
